SEC Clarifies the Official Address of KMBI HO

The Securities and Exchange Commission Regional Office in Baguio City in its Resolution dated February 17, 2017 affirms that KMBI’s principal head office is at #12 San Francisco Street Karuhatan Valenzuela City.

The KMBI Board based in #12 San Francisco Street Karuhatan Valenzuela objected to the highly irregular submission of a notarized secretary certificate by Dr. Amelia Gonzales, Noel Alcaide, Basilio G. Cajucom Sr., Jenara D. Eduarte, Fr. Eddie Panlilio and Noel B. Alipio, certifying that no intra-corporate dispute or proceeding has been filed and pending in any courts of law in their attempt to change the records of KMBI’s principal head office address.

Contrary to claim of Gonzales group, the SEC affirms that intra-corporate cases in Valenzuela City are existing when the Gonzales group filed the amendment of KMBI’s Articles of Incorporation. The Gonzales group’s submission of a secretary certificate stating the absence of intra-corporate cases, despite the overwhelmingly evidence to the contrary, is not in accordance with the requirements of the Corporation Code of the Philippines.

The SEC pointed that among the documentary requirements for the approval of any amendment of the Articles of Incorporation is a secretary certificate signed by the corporate secretary, certifying that no action or cases is filed or pending before any court involving intra-corporate dispute or claims. This requirement is mandatory in order to prevent a situation where person’s not “legitimately” elected in the Board will be allowed to amend the articles of incorporation to serve their own interest.

KMBI Instates 47th Branch through San Mateo Inauguration

KMBI brought its services closer to the homes of Program Members residing in the areas of Marikina, San Mateo, and Rodriguez with the inauguration of San Mateo Branch on March 7, 2017.

Located at 125 Gen. Luna St. in Ampid, San Mateo, Rizal, KMBI’s 47th branch is another mark of the organization’s commitment to service its Program Members within the bounds of their locality.

In attendance to the event were KMBI Chairman and Vice-President Mr. David D. Gutierrez, Regional Director for Luzon Operations Ms. Rachelle Basiya, and Rizal Area Manager Mr. Alvin Ofemia. Representing the Head Office was Ms. Princes O. Dacca, Senior Executive Assistant and Acting Manager for the Corporate Affairs Office.

In his opening remarks, Corporate Treasurer Mr. Edgardo F. Garcia highlighted the symmetrical features of the location which he alluded to the stability of the operations. He added that the Program Members play a key role in the securing the success of the branch. The branch, since then, gained positive traction within the municipalities they served.

“I felt overwhelming joy when I heard the San Mateo Branch was being established. Ever since then, KMBI has offered me a lot of help,” Ms. Juliet Tabanao, a pioneering Program Member of the branch, shared.

KMBI Inaugurates San Pablo Branch

Program Members formerly under the jurisdiction of the Upper Cavite Branch have now found themselves a new home during the inauguration of San Pablo Branch on March 6, 2017. This marks the organization's 46th branch and CALABARZON Area's third.

Gracing the occasion were KMBI Chairman Mr. David D. Gutierrez and KMBI President Eduardo C. Jimenez, as well as Regional Director for Luzon Operations Ms. Rachelle Basiya and CALABARZON Area Manager Mr. Joel Clavecilla. Members of the Head Office were also in attendance in the person of Ms. Princes O. Dacca of EMO and CAO and Ms. Lea G. Domingo of HCD-SER. Witness to the occasion were the branch managers and officers of Bacoor and Upper Cavite.

To date, the branch is already progressing with 24 centers. The branch staff are optimistic that they will be able to form more centers with the help of Program Members.
